These Terms of Service (“Terms”) govern your access to and use of the Helveris website, platform, and related services (collectively, the “Services”) provided by OKLEO LL (“Helveris”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. The Service

Helveris provides an AI-powered sales and support assistant for websites. The Service is designed to help website visitors receive guidance, navigate content, submit requests, and support lead routing and customer-facing workflows in a controlled business environment.

The Service may include trial access, subscription plans, integrations, workflow configuration, CRM handoff, and support-related features, depending on the plan selected by the Customer.

2. Eligibility

You may use the Services only if you have the legal capacity to enter into a binding agreement on behalf of yourself or the entity you represent.

If you are using the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

3. Trial and Subscription Plans

Helveris may offer a free trial for eligible users. Trial availability, duration, and scope may vary and may be modified or withdrawn at any time.

After the trial period, continued use of the Services may require a paid subscription. Subscription pricing, billing intervals, and included features are described at the time of purchase or in a separate commercial agreement.

Billing Note

Paid subscriptions renew automatically unless cancelled before the next renewal date. Fees are billed in advance and are generally non-refundable except as described in our Refund Policy or where required by law.

4. Acceptable Use

You agree not to use the Services:

  • in violation of any applicable law or regulation;
  • to process data that you are not authorized to process;
  • to transmit unlawful, harmful, deceptive, abusive, or infringing content;
  • to interfere with or disrupt the integrity, availability, or performance of the Services;
  • to attempt unauthorized access to the Services, related systems, or other customer environments.

5. Customer Responsibilities

You are responsible for:

  • your website deployment and configuration choices;
  • the legality, quality, and accuracy of the data you submit or process through the Services;
  • providing any notices and obtaining any consents required under applicable law;
  • ensuring that your use of the Services is appropriate for your business workflows, customer communications, and data handling requirements;
  • maintaining the confidentiality of account credentials and access controls.

6. Privacy and Data Handling

Helveris is designed for website-specific business workflows and operates in a controlled service environment rather than as a public AI system.

Our handling of Personal Data is governed by the applicable Privacy Policy, Data Processing Agreement, and related addenda where applicable. You remain responsible for determining whether your use of the Service, including website assistance, CRM routing, and support workflows, complies with the laws applicable to your business.

7. Integrations and Third-Party Services

The Services may support integrations with third-party platforms such as CRM systems, communication tools, analytics services, or other business software.

Helveris is not responsible for third-party services, their availability, or their independent data handling practices. Your use of any third-party integration may also be subject to the terms and privacy policies of the relevant third party.

8. Intellectual Property

Helveris and its licensors retain all rights, title, and interest in and to the Services, including all software, technology, workflows, documentation, branding, and related intellectual property.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the applicable subscription term.

9. Service Availability and Changes

We may modify, update, suspend, or discontinue parts of the Services from time to time. We may also add, remove, or change features, workflows, integrations, and product capabilities as part of normal product development.

While we aim to provide reliable service, we do not guarantee uninterrupted or error-free operation.

10. Suspension and Termination

We may suspend or terminate access to the Services if:

  • you materially breach these Terms;
  • payment is overdue;
  • your use of the Services creates security, legal, or operational risk;
  • we are required to do so by law.

You may stop using the Services at any time and may cancel your subscription before the next renewal date. Cancellation prevents future billing but does not automatically create a refund for the current paid period.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis, except as otherwise expressly stated in a separate written agreement.

To the maximum extent permitted by law, Helveris disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by law, Helveris will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, the total aggregate liability of Helveris arising out of or related to the Services and these Terms will not exceed the amount paid by the Customer to Helveris for the Services during the twelve (12) months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless Helveris, its affiliates, and its personnel from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your use of the Services in violation of these Terms or applicable law;
  • your website content, data, or business workflows;
  • your failure to obtain required notices, permissions, or consents.

14. Governing Law

These Terms are governed by and construed in accordance with the laws applicable to the contracting entity identified in the relevant order, agreement, or legal documentation, unless otherwise required by mandatory law.

15. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on this page and will become effective upon publication unless otherwise stated.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.
